The Singapore Companies Act requires every company to appoint a secretary within 6 months of the date of incorporation.

The position of the secretary cannot be left vacant for more than 6 months under S171(4A) of the Companies Act or the directors may face a penalty of up to $1,000.

The company secretary must be residing locally in Singapore and must not be disbarred under S155B from acting as a secretary.

The sole director and the secretary cannot be the same person under S171(1E) of the Companies Act.
