What is an AGM ?

An annual general meeting (AGM) is a meeting for your company to present its financial statements each year to shareholders. Shareholders can then raise queries to the management of the company about the health of the businesses that they have bought shares in.

All companies in Singapore are required to hold AGMs.

The date of your company’s AGM is declared to ACRA when filing your company’s Annual Return on Bizfile.

if your company is exempted from holding an AGM or has dispensed with the holding of AGM, you would need to submit the details when filing your company’s annual return.

Timeline for holding AGMs

Under S175(1) of CA, the annual general meeting (AGM) must be held after the end of each financial year of the company within:

  1. 4 months for listed companies or
  2. 6 months for unlisted companies

 

Holding of first Annual General Meeting (1st AGM)

The company must hold its first AGM within the earlier of the following:

  1. 18 months of its incorporation; and
  2. The accounts must be made up to a date not more than 6 months from the date of AGM (e.g. if your financial or accounting year end is 31 December 2019, then the accounts must be filed not later than 30 June 2020).

 

Subsequent AGM must be held:

  1. At least once every calendar year
  2. At intervals of not more than 15 months from the date of the last AGM; and
  3. Its audited/unaudited accounts must be made up to a date not more than 6 months before the AGM. Failure to comply with this statutory requirement will render the company and all its officers liable to prosecution.

For example, if the last AGM was held on 30 June 2019 to approve Accounts for the year ended 31 December 2018, then the following dates would apply:

  1. At least once in every calendar year by 31 December 2020;
  2. At intervals of not more than 15 months from the date of the last AGM (ie 30 June 2019); 30 September 2020
  3. Its audited/unaudited accounts must be made up to a date not more than 6 months before the AGM: 30 June 2020 (as the next set of accounts would be for the financial year ended 31 December 2019).
